1. Acceptance of Terms

By accessing or using SmartClinic (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

SmartClinic is a SaaS-based doctors’ prescription and appointment management platform that enables healthcare providers to:

  • Create and manage prescriptions.

  • Schedule and manage patient appointments.

  • Maintain digital patient health records.

  • Manage multiple chambers and assign staff roles.

3. Eligibility

You must be:

  • A licensed healthcare professional, authorized clinic, or medical facility; or

  • An authorized staff member of a registered healthcare practice.
    You are responsible for ensuring compliance with all applicable medical, data protection, and licensing laws in your jurisdiction.

4. Account Registration & Responsibilities

  • You must provide accurate, complete, and current information when registering.

  • You are responsible for safeguarding your account credentials.

  • You agree not to share login details except with authorized personnel in your practice.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or in violation of medical ethics.

  • Upload or share false, misleading, or harmful medical information.

  • Attempt to hack, disrupt, or reverse-engineer the platform.

  • Use patient data without proper consent.

Violation of these rules may result in immediate account termination.

6. Data Privacy & Security

  • All personal and medical data is handled in accordance with the SmartClinic Privacy Policy and the Kenya Data Protection Act (2019), as well as HIPAA/GDPR where applicable.

  • You are responsible for obtaining necessary patient consent before entering their data into SmartClinic.

7. Subscription, Payments & Refunds

  • SmartClinic is offered on a subscription basis. Fees, billing cycles, and available plans are detailed on our website.

  • Payments are non-refundable except where required by law.

  • We may change subscription fees with 30 days’ notice via email or platform notification.

8. Intellectual Property

  • All content, features, and software of SmartClinic are the property of Doctors Explain Digital Health Co. LTD.

  • You are granted a limited, non-exclusive, non-transferable license to use the Service for your professional practice only.

9. Limitation of Liability

SmartClinic is a software tool and does not replace professional medical judgment.

  • We are not responsible for any clinical decisions or patient outcomes resulting from use of the Service.

  • To the fullest extent permitted by law, Doctors Explain Digital Health Co. LTD will not be liable for indirect, incidental, or consequential damages.

10. Termination

We reserve the right to suspend or terminate accounts that:

  • Breach these Terms.

  • Misuse the Service.

  • Fail to pay subscription fees.

Upon termination, your access to SmartClinic will cease, but you may request a data export of your patient records.

11. Changes to the Terms

We may update these Terms from time to time. Changes will be posted on our website with an updated Effective Date. Continued use of the Service constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Kenya, without regard to its conflict of law principles. Disputes will be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.
